Terms and conditions

These Terms and Conditions ("Terms") apply to your access and use of (a) the closed beta playtests of our pre-released games ("Beta Playtest" or "Beta Product"); (b) and the websites https://talesofus.com/ and https://www.worldofus.info/ ("Website(s)") , including the use of the limited web-based preview experience described below (“Preview”); and (c) all other related products and services (collectively, "Service(s)") by you ("User", "you" or "your"). The Services are provided by Tales of us gGmbH, Voltstraße 1 14482 Potsdam, Germany ("TALES", "we", "us" or "our").

By using our Services or expressly accepting these Terms where required, you agree to be bound by these Terms ("Agreement").

If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that person to this Agreement, in which case the terms "User", "you" or "your" will refer to that person. If you do not have such authority or if you do not agree to abide by these Terms, you are not authorized to access or use the Services.

1. ACCESS TO THE SERVICES; PARTICIPATION IN THE BETA PLAYTEST

  1. The Beta Playtest is a closed beta. It is not publicly available and does not provide unlimited or open access to the games. Participation is limited to eligible players designated or approved by TALES. The Beta Playtest is offered solely for testing purposes - to identify bugs, gather feedback and improve our games prior to public release. The Beta Playtest may not be used for commercial or production purposes unless we have expressly agreed to such use in writing. More information about the Beta Playtest can be found on the Website.
  2. Participation in the Beta Playtest is free of charge, unless expressly stated otherwise. Participation is voluntary and will not be remunerated unless otherwise agreed in writing.
  3. You undertake to keep your access data provided to access the Beta Playtest secure and not to pass it on to others unless this is necessary for the intended and permitted use of the Service. You remain responsible for all activities that occur under your access credentials.
  4. Participation in the Preview does not provide access to the full games or the Beta Playtest. The Preview is a limited, browser-based experience made available to the public free of charge through the Website and does not require account creation or completion of an intake process.

2. GRANT OF LICENSE

  1. By entering into the Agreement, TALES grants you - subject to the restrictions in these Terms (in particular Section 4) - a non-exclusive, non-transferable, non-sublicensable and revocable license to use the Services for the intended purpose and for the duration of the Agreement. This right is limited to non-commercial use.
  2. User may grant its authorized users (e.g., students, faculty or staff) ("Authorized Users") access to the Beta Playtest for testing purposes only, provided that such use is in accordance with this Agreement.

3. FEEDBACK

  1. You have the opportunity to voluntarily submit questions, comments, suggestions, ideas, original or creative materials or other information relating to TALES or our Services (collectively, "Feedback"). You acknowledge and agree that we may use this Feedback, in our sole discretion, to provide, improve and develop our Services or to develop new products, services or technologies.
  2. By submitting Feedback, you represent and warrant that:
    1. You have all necessary rights and permissions to do so;
    2. Your Feedback does not infringe any third party intellectual property or other rights; and
    3. Your Feedback is not unlawful, obscene, defamatory, libelous or promotional.

4. PROHIBITED USE

In addition to any other terms set forth in the Agreement, you are prohibited from using the Services: (a) for unlawful purposes; (b) to solicit or engage in unlawful acts by others; (c) to violate any international, federal, state, provincial or federal regulations, rules, laws or local ordinances; (d) to infringe or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, libel, denigrate, intimidate or discriminate on the basis of gender, sexual orientation, religion, race, ethnicity, age, national origin or disability; (f) transmitting false or misleading information; (g) uploading or transmitting viruses or any other type of malicious code that in any way affects or may affect the functionality or operation of the Services, third party products and services or the Internet; (h) spam, phish, pharm, pretext, spider, crawl or scrape; (i) for obscene or immoral purposes; or (j) interfere with or circumvent the security features of the Services, third party products and services or the internet; (k) use the Services in any manner inconsistent with the license granted, including, but not limited to: Renting, leasing, sublicensing, making available over a network, reverse engineering, decompiling, disassembling, modifying, creating derivative works, or copying, publicly performing or broadcasting the Services without permission. We reserve the right to terminate your use of the Services if you violate any of the prohibited uses.

5. RESPONSIBILITY FOR AUTHORIZED USERS

Users comply with the following requirements. These requirements also apply to the User’s own use of the Services:

  1. use of the Beta Playtest must be in accordance with this Agreement;
  2. users must be of the appropriate age or, if required, have obtained the necessary parental or guardian consent; and
  3. users must not engage in any prohibited activities as set out in these Terms (in particular in Section 4).

6. INTELLECTUAL PROPERTY RIGHTS

  1. No intellectual property of TALES or any third party is transferred to you by this Agreement, and all right, title and interest in and to such property shall remain (as between the parties) solely with TALES.
  2. All trademarks, service marks, graphics and logos used in connection with the Services are trademarks or registered trademarks of TALES or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Services may be the trademarks of other third parties. Your use of the Services grants you no right or license to reproduce or otherwise use any TALES or third-party trademarks.

7. CONFIDENTIALITY

  1. The User agrees not to disclose, share or publish any details of the Beta Playtest, including but not limited to gameplay, features, bugs, content or feedback ("Confidential Information"), without our express written permission, unless it is already in the public domain or has been lawfully obtained by other means.
  2. The User shall ensure that its employees and all subcontractors engaged by it are also bound by corresponding confidentiality obligations.
  3. Screenshots, videos or streaming of the Beta Playtest are not permitted.
  4. Violation of this section may result in exclusion from the Beta Playtest and possible legal action.

8 TERMINATION

  1. Either party may terminate this Agreement at any time. TALES may terminate the User's access to the Beta Playtest at its sole discretion.
  2. Upon termination of the Agreement, the User agrees to delete all Beta Playtest materials and uninstall the Beta Playtest.
  3. TALES does not warrant that a publicly available production version of the Beta Playtest will be released.

9. UPDATES AND SERVER AVAILABILITY

  1. This Agreement applies to all updates to the Services, including any downloadable content provided as part of the Beta Playtest. However, TALES is not obligated to provide updates.
  2. We may automatically or manually update, patch or otherwise modify the Services at any time for any reason, including to improve functionality, fix bugs or enhance performance. We also reserve the right, in our sole discretion and without liability or prior notice, to
    1. Modify or discontinue the Services (in whole or in part),
    2. restrict, suspend or terminate your access to the Services; or
    3. restrict certain features or services.
  3. If the Services rely on online servers or connectivity, we do not guarantee the availability or uptime of those servers.

10. INTERNET CONNECTION

Access to certain Services requires a compatible browser, device and internet connection. You are solely responsible for obtaining and maintaining the necessary equipment and connectivity, including any charges or fees imposed by your Internet service provider for downloading, accessing or using the Services. TALES does not guarantee that the Services will operate correctly on every browser, operating system or device. 

11. DATA PROTECTION

TALES processes personal data about the User. The processing of personal data is governed by our Privacy Policy, which is available on the Website.

12. NO WARRANTY; LIMITATIONS OF LIABILITY

  1. The Beta Playtest is provided free of charge. It is still in the development and testing phase, i.e. it is not a final product and may contain errors, bugs or other problems. Not all features may be fully functional. It is provided "as is" and "as available" without warranty of any kind, including any warranty that the Beta Playtest will be available, uninterrupted or error-free or that the User content will be secure or will not be lost or damaged. The Beta Playtest may be modified or discontinued at our sole discretion. Your use of the Beta Playtest is at your own risk. You should install the Beta Playtest on non-production devices that are not business critical and have been backed up beforehand.
  2. TALES assumes no guarantee or liability for the availability of the Services. Furthermore, TALES does not guarantee that access to the Services will be free of technical errors and interruptions, that no other technical problems will occur during use or that the Services are free of viruses or errors.
  3. TALES shall be liable only in cases of intent (wilful misconduct) and gross negligence, as well as for damages resulting from injury to life, body, or health. Liability arising from assumed guarantees, under the German Product Liability Act (Produkthaftungsgesetz) and for fraudulent concealment of defects shall remain unaffected.
  4. Except as provided above, all other liability is excluded, including, in particular, liability for any loss of data, hardware/software problems or other consequences of using the Beta Playtest unless such liability falls within the scope of Section 12.3. 
  5. The limitations of liability set out in this Section 12 shall also apply to claims brought against TALES’ legal representatives, employees, and agents. 

13. INDEMNIFICATION

You agree to indemnify and hold us, our affiliates and our respective directors, officers, employees, agents, successors, licensors and assigns harmless from any third party claim, action or proceeding, including damages, court costs and reasonable attorneys' fees, arising out of or related to your use of the Services, including use of the Beta Playtest by Authorized Users, any User Content and use thereof, your violation of these Terms, or your violation of any rights, including but not limited to intellectual property rights, unless you are not at fault for the violation.

14. LINKS TO THIRD PARTIES

Although the Services may contain links to other resources (such as websites, mobile applications, etc.), we do not imply, directly or indirectly, any approval, affiliation, sponsorship, endorsement or affiliation with any linked resource unless expressly stated herein. We are not responsible for examining or evaluating the offerings of companies or individuals or the content of their resources, and we make no warranties about them. We assume no responsibility or liability for the actions, products, services and content of other third parties. You should carefully review the legal notices and other terms of use of any resource that you access through a link on the Website. Linking to other resources outside the Website is at your own risk.

15. CHANGES AND ADDITIONS

We reserve the right to change these Terms at any time at our discretion. If we do so, we will post a notice on the main page of the Website. We may also notify you by other means at our discretion, such as through the contact information you provide to us.

An updated version of this Agreement will be effective immediately upon posting of the revised Agreement, unless otherwise specified. Your continued use of the Site and the Services after the effective date of the revised Agreement (or any other action specified at that time) will constitute your acceptance of such changes.

16. MISCELLANEOUS

  1. The User’s general terms and conditions shall not form part of the Agreement unless we have expressly agreed to their incorporation in writing.
  2. TALES is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
  3. The laws of the Federal Republic of Germany shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods. If the User is a consumer within the meaning of Section 13 of the German Civil Code (Bürgerliches Gesetzbuch – BGB), any mandatory statutory consumer protection provisions under the laws of the country in which the consumer has their habitual residence shall remain unaffected. 
  4. The exclusive place of jurisdiction for all disputes arising out of or in connection with this Agreement shall be Potsdam, provided that the contracting parties are merchants (Kaufleute), the User has no general place of jurisdiction in Germany or another EU Member State, the User has relocated their permanent residence abroad after these Terms entered into force, or the User’s residence or habitual residence is unknown at the time legal proceedings are commenced.
  5. Should individual provisions of these terms and conditions be or become invalid, this shall not affect the validity of the remaining provisions of the terms and conditions.
